These terms set forth the conditions for purchasing advertising services by the Advertiser and their provision by us, as described on this Website. By ordering any services, you agree to comply with these terms.

### Definitions

– **“We”, “our”, “us”**: Refers to Boaterport, a trading name of Ecomerco, registered in Poland under company number 6951531852, with its office at Czarnieckiego 3 59-400 Jawor, PL.
– **“Advert”**: The advertisement placed on our Website, subject to validation.
– **“Advertiser”**: The individual or entity purchasing an advertising package and entering into this Agreement with us.
– **“Advertising Copy”**: The content and layout of the Advert, provided by the Advertiser or prepared by us on their behalf.
– **“Agreement”**: This document, the chosen advertising package, and any referenced materials.
– **“Option”**: The advertising package selected from our offerings.
– **“Price”**: The amount payable by the Advertiser, excluding VAT and other applicable taxes unless noted.
– **“Services”**: The advertising services described in clause 2.
– **“Website”**: Refers to www.boaterport.com or boaterport.com.
– **“You”, “your”**: The Advertiser.

### Services, Price, and Currency
Our advertising services are provided under the terms of this Agreement, with specific service details, Price, and currency included in the proposal or invoice. Payments are defaulted to Euros unless otherwise specified.

### Orders
1. Placing an order constitutes an offer subject to these terms. Orders are accepted upon payment authorization, but authorization alone does not guarantee acceptance.
2. We reserve the right to accept or reject orders, which will be confirmed via email. The contract is established upon our written confirmation.
3. This Agreement may be terminated if the Advertiser is found to have resold ad space to an undisclosed third party.

### Publication of the Advertising Copy
A link to your live advert will be provided; if no changes are requested within one week, it is deemed approved. Amendments may be requested during the display period but are subject to limitations.

### Payment
1. Payments must be made in advance by credit card, debit card, or cheque.
2. Prices are subject to change. Should the Price vary between order and acceptance or if outdated pricing is used, you will be informed and may withdraw the order.
3. A 12-month contract begins upon the first display of your Advert or one month after payment, whichever is sooner. Renewal terms will be provided prior to expiration.
4. Interest may be applied to overdue payments at the maximum allowable rate.

### Website Access and Content
1. We may update Website specifications, prices, or design without notice to improve services.
2. Continuous Website access is aimed for, but may be restricted or suspended as needed.

### Warranties and Indemnity
1. We guarantee that our services will be provided with reasonable care and skill.
2. You warrant that the Advertising Copy is legally compliant, does not infringe third-party rights, and that you hold the rights to use any content, trademarks, and logos in the Advert.
3. You agree to indemnify us for any losses from a breach of these warranties.

### Cancellation
1. You may cancel an order by written notice; cancellation fees may apply.
2. The Advert will be removed within one month following cancellation notice. No refund is provided.
3. Failure to pay within 30 days may lead to Advert cancellation unless otherwise agreed.

### Liability
1. We are not liable for indirect or consequential losses, such as loss of revenue, profit, or goodwill.
2. Our total liability shall not exceed the Price paid by you.
3. We do not accept liability for death or personal injury.
4. Use of Logos and Business Names: We may display logos, trademarks, and business names of third-party companies solely for informational purposes, in compliance with Fair Use principles. This use is not intended to infringe intellectual property rights, and we disclaim any liability for claims arising from the lawful fair use of such logos, trademarks, or business names in accordance with applicable law.
5. Business Data: All business-related data, including but not limited to company names, addresses, logos, and other publicly available information, has been manually added to our platform by our team or sourced from trusted third-party data providers. We confirm that no data was extracted or collected from any website or platform without permission. While we make every effort to ensure the accuracy and lawful use of this data, we disclaim liability for any issues arising from the use of such data, provided it complies with applicable laws and data protection regulations.

### Statutory Rights
These terms do not affect your statutory rights as a consumer.

### Force Majeure
We are not liable for delays or failures caused by circumstances beyond our control.

### Email, Username, and Password
We will communicate with you via the provided email. It is your responsibility to keep your contact details up-to-date.

### Banner Advertising
Banner ad artwork must be provided within one month of booking. The 12-month display period starts from the advert going live or one month post-booking.

### General Provisions
1. Delay in enforcing rights does not constitute a waiver.
2. If any provision is invalid, the remaining terms remain effective.
3. Rights and obligations may be transferred by us but not by you without written consent.
4. No third party may enforce this Agreement.

### Complaints

### Privacy
1. We comply with applicable data protection laws and may use your details per our privacy policy, updated periodically.
2. Unless specified, you agree that we may use your information for marketing purposes, including from trusted partners. Opt-out is available anytime.

### Intellectual Property
1. All Website content, design, and software rights belong to Boaterport or its licensors. Reproduction requires permission.
2. Boaterport is a registered trademark of Ecomerco; other trademarks belong to their respective owners.
3. You retain ownership of submitted data but grant us a royalty-free license to use, distribute, and publish it.

### Entire Agreement
1. This Agreement, including our Privacy Policy and Website User Terms, constitutes the entire agreement and supersedes prior agreements.
2. Both parties acknowledge reliance solely on this Agreement, except in cases of fraud.

### Our Right to Update Terms
1. We may revise these terms periodically.
2. Terms effective at order time apply to that contract.

### Governing Law and Jurisdiction
1. Polish law governs these terms.
2. Any disputes fall under the exclusive jurisdiction of Polish courts, with both parties agreeing to this jurisdiction.
